William D. Anderson, Jr. is a Managing Director at Goldman, Sachs & Co. in the Firm's Mergers Leadership Group. He is also co-head of its Anti-Raid/Raid Defense Group and leads its Merger Product Group. He advises companies in connection with mergers and acquisitions, special committee situations, cross-border transactions and responding to hostile activity. Prior to joining Goldman Sachs, Mr. Anderson was an attorney for Simpson Thacher & Bartlett where he advised public and private companies and financial sponsors on mergers and acquisitions, securities offerings, financings, recapitalizations, spin-offs and general corporate and securities matters. He clerked on the United States Court of Appeals, Second Circuit, in 1994-95 and served for three years as a certified public accountant for Coopers & Lybrand.
Mr. Anderson graduated magna cum laude from Georgetown University with a BS/BA in accounting and history in 1988. He also graduated magna cum laude from Georgetown Law School in 1994 as a member of the Order of the Coif. He was Managing Articles Editor and a senior editorial board member of the Georgetown Law Journal. Mr. Anderson served in the U.S. Army Reserves as a Captain in the Quartermaster Corps. Mr. Anderson is a member of the Association of the Bar of the City of New York, serves on its Special Committee on Mergers, Acquisitions and Corporate Control Contests, and has served on its Professional Disciplinary Committee and Professional Responsibility Committee (including as co-chair of a number of its subcommittees). He also has published articles and speaks frequently on mergers and acquisitions, hostile activity and board/shareholder interaction.
