Managing Director in the Legal Department at Goldman Sachs in New York and Legal Director for Capital Markets. In that capacity, Randy is responsible for coordinating the firm's legal coverage of equity capital markets, debt capital markets and bank loan financings. Randy is experienced in handling the legal aspects of IPO's, block trades and secondary offerings, high yield and investment grade debt offerings, bank and bridge loans and other acquisition financings, equity derivatives and hedging transactions and sales of restricted stock, convertible securities and other structured products and M&A transactions. Randy was involved in the negotiation and implementation of the $1B Global Equity Research Settlement in 2003. Randy has been active in commenting on proposed regulatory initiatives on behalf of financial industry trade associations, such as The Bond Market Association and the Securities Industry Association. Randy was previously in-house investment banking counsel at Lehman Brothers and began his career as an Associate in the Corporate Law Department of Cravath, Swaine & Moore. Randy graduated from NYU Law School in 1991 and Cornell University in 1988.
